Job summary

Talent Renew seeks a Remote Corporate/Commercial & Private M&A Associate (4+ years) to advise clients on a broad range of transactional matters. The role offers a fully remote practice within Ontario, with emphasis on drafting, negotiations, and due diligence across corporate and private M&A deals.

Ideal candidates are licensed in Ontario, have 4+ years of relevant experience, and excel at client-facing, business-minded legal solutions.

Qualifications

  • Must be a member in good standing with the Law Society of Ontario.
  • 4+ years of experience in Corporate/Commercial Law and Private M&A.
  • Strong drafting, negotiation, analytical, and problem-solving skills.

Responsibilities

  • Advise clients on a broad range of corporate and commercial law matters.
  • Draft, review, and negotiate commercial agreements, shareholder agreements, and other business-related contracts.
  • Assist with mergers and acquisitions, including share and asset purchase transactions.
  • Conduct legal due diligence and assist with transaction structuring.
  • Prepare and negotiate transaction documents and closing deliverables.
  • Advise clients on corporate governance, reorganizations, incorporations, amalgamations, and other corporate transactions.
  • Manage files independently and provide practical, business-focused legal advice.
  • Build and maintain strong client relationships while delivering exceptional client service.

Position Type: Full-Time, Permanent

Compensation: Commensurate with Experience

Our client, a well-established and growing business law firm, is seeking a Corporate/Commercial & Private M&A Associate to join its team. This is an excellent opportunity for a lawyer who enjoys advising entrepreneurs, private companies, and investors on a broad range of business transactions.

The successful candidate will have the opportunity to work on sophisticated corporate, commercial, and private M&A matters while enjoying the flexibility of a fully remote practice within Ontario.

Key Responsibilities
  • Advise clients on a broad range of corporate and commercial law matters.
  • Draft, review, and negotiate commercial agreements, shareholder agreements, and other business-related contracts.
  • Assist with mergers and acquisitions, including share and asset purchase transactions.
  • Conduct legal due diligence and assist with transaction structuring.
  • Prepare and negotiate transaction documents and closing deliverables.
  • Advise clients on corporate governance, reorganizations, incorporations, amalgamations, and other corporate transactions.

  • Ability to work independently in a remote environment while managing multiple files and deadlines.

Compensation

Compensation will be competitive and based on the successful candidate's level of experience, qualifications, and overall fit for the role.

Expected salary ranges:

  • $120,000 – $160,000
