Qualifications

  • 1-4 years post-call experience with the Ontario Bar
  • Background in corporate and securities law
  • Familiar with Canadian corporate/securities law: take-over bid/early warning rules, continuous disclosure, MI 61-101, proxy solicitation, CBCA/OBCA
  • Excellent drafting skills and strong analytical capabilities
  • Strong judgment and discretion, ability to handle highly sensitive matters
  • Entrepreneurial and self-directed approach with comfort working in ambiguity and high responsibility
  • Strong commercial instincts and interest at the intersection of law, strategy, governance and finance
  • Financial literacy; CFA is a plus but not required

Job description

Our client is a sophisticated strategic and legal advisory firm engaged on complex, high-stakes matters where strategy, governance, capital, value and control are at issue. Its practice sits uniquely at the intersection of law, business and finance, offering associates exposure that extends well beyond a traditional corporate or securities practice.

Responsibilities

The successful candidate will work directly with clients from the outset and take meaningful responsibility for live mandates, seeing matters through from strategy to execution.

The Associate will work across a sophisticated range of matters, including:

  • Contested and transformative transactions;
  • Shareholder activism and engagement, acting on either side;
  • Governance disputes and special committee mandates;
  • Strategic alternatives and capital structure matters;
  • Independent investigations;
  • Significant family enterprise and capital matters; and
  • Reviewing, analyzing and assessing opportunities for principal investment.
Requirements

The ideal candidate will have:

  • 1-4 years of post-call experience and membership in good standing with the Ontario Bar;
  • A background in corporate and securities law;
  • Working familiarity with Canadian corporate and securities law, including take-over bid and early warning rules, continuous disclosure, MI 61-101, proxy solicitation, and the CBCA and OBCA;
  • Excellent drafting skills and strong analytical capabilities;
  • Strong judgment and discretion, with the ability to handle highly sensitive and confidential matters;
  • An entrepreneurial and self-directed approach, with the confidence to operate in situations involving ambiguity and significant responsibility;
  • Strong commercial instincts and an interest in the intersection of law, strategy, governance and finance; and
  • Financial literacy. A background in finance or accounting, or a CFA designation, would be considered an asset but is not required.
