Allegiance Law in Brussels is expanding its Corporate & M&A practice and seeks an experienced Corporate Lawyer. You will advise Belgian and international clients on a broad range of corporate matters and transactions, including select commercial law matters.

You will work directly with clients, own your matters, and collaborate in a small, entrepreneurial team. A native Dutch or French speaker with fluent English is preferred, with a genuine interest in technology and life sciences.

Qualifications

• 4 to 6 years of relevant experience in corporate law and M&A.
• Admitted to a Belgian Bar (or eligible for admission).
• Native Dutch or French speaker with strong English.
• Interest in advising clients in technology, life sciences and innovative industries.
• Strong legal, analytical and drafting skills.
• Comfortable using AI-enabled legal and productivity tools.

Responsabilités

• Advise Belgian and international clients on corporate matters and transactions.
• Assist with commercial law matters linked to clients' business activities.
• Draft and negotiate shareholders’ agreements and corporate governance documents.
• Conduct and coordinate due diligence for cross‑border deals.
• Draft and negotiate transaction documents (LOIs, SPA, investment agreements, JV agreements).
• Advise on private equity and venture capital transactions.
• Support day‑to‑day commercial matters and shareholder/director disputes as needed.
