You will manage international subsidiaries, employee equity programs, and strategic investments while shaping legal strategy for international expansion in a remote-capable, globally distributed organization.

Qualifications

• Juris Doctor (JD) degree from a US-accredited law school.
• Admission to practice in a US state.
• At least five years of legal practice experience.
• Strong expertise in securities law and corporate governance.
• Experience handling international subsidiaries and complex corporate transactions.

Responsibilities

• Lead global securities law compliance and corporate governance for a late-stage private company.
• Manage international subsidiary structure, board meetings, records, and intercompany agreements.
• Support board governance with agendas and documentation.
• Oversee employee equity programs and stock transactions.
• Lead legal execution of fundraising, M&A, financing, and other strategic transactions.
• Oversee venture investments and related activities.
• Develop scalable legal and business processes for international operations.
• Advise on software licensing, IP, and open-source considerations.
