ABORIGINAL AND TORRES STRAIT ISLANDER IDENTIFIED ROLE

This opportunity is exclusively for Aboriginal and Torres Strait Islander applicants.

Strong Governance. Good Decisions. Better Outcomes.

Bring your corporate governance expertise to an organisation making a meaningful difference in Aboriginal housing and communities.

We're looking for an experienced, organised and proactive Company Secretary to support our Board of Directors and strengthen our corporate governance, regulatory compliance and statutory reporting.

This is an opportunity for a governance professional who values independence, flexibility and the satisfaction of ensuring an organisation operates with integrity, accountability and strong governance practices.

Working closely with our Board Chair, Directors and Chief Executive Officer, you'll coordinate the corporation's governance functions, maintain statutory records, support Board decision-making and ensure our corporate obligations are managed accurately and on time.

We're looking for someone who can take ownership of their responsibilities, anticipate requirements, maintain clear governance processes and confidently navigate the regulatory environment governing Aboriginal corporations.

This is a genuine Company Secretary position, not a general administrative or executive assistant role.

What You’ll Be Doing

You’ll play an important role in supporting effective corporate governance and ensuring the organisation meets its statutory and regulatory responsibilities.

Your responsibilities will include:

  • Board Governance - Coordinate Board and committee meetings, prepare agendas and Board papers, maintain accurate minutes and manage resolutions and governance action registers.
  • Corporate Compliance - Coordinate statutory obligations under the Corporations (Aboriginal and Torres Strait Islander) Act 2006 (CATSI Act), including reporting and lodgements with the Office of the Registrar of Indigenous Corporations (ORIC).
  • Annual General Meetings - Coordinate AGMs and other general meetings, including notices, meeting documentation, nominations, voting processes, resolutions and required statutory notifications.
  • Rule Book Administration - Maintain the corporation's Rule Book and coordinate amendments, approvals and associated governance requirements.
  • Corporate Records & Registers - Maintain accurate membership, director, officer, conflict-of-interest and other statutory governance records.
  • Director & Board Support - Assist Directors with governance information, induction processes, statutory declarations, disclosures and authorised document execution.
  • Regulatory Reporting - Coordinate governance-related compliance requirements and reporting associated with ORIC, the National Regulatory System for Community Housing (NRSCH) and other applicable regulators.
  • Governance Systems - Maintain the corporate compliance calendar, governance documentation, registers and secure records to ensure statutory obligations and reporting deadlines are met.
  • Governance Coordination - Work closely with the CEO to obtain approved information, maintain effective communication and ensure Board decisions and governance requirements are accurately recorded and communicated.
What We’re Looking For

We're seeking a capable and dependable governance professional with strong attention to detail, sound judgement and demonstrated experience in corporate governance.

Experience with ORIC, the CATSI Act and the company secretarial responsibilities of Aboriginal corporations is essential.

Ideally, you’ll bring:

  • Demonstrated experience in company secretarial duties and corporate governance within an Aboriginal corporation.
  • Strong working knowledge of the CATSI Act, ORIC requirements and corporate governance obligations.
  • Experience coordinating Board meetings, preparing minutes, managing resolutions and maintaining statutory registers.
  • A sound understanding of Board governance, director responsibilities and regulatory compliance.
  • Excellent written communication skills and the ability to prepare accurate, professional governance documentation.
  • Strong organisational skills and the ability to manage statutory deadlines independently.
  • Confidence using Microsoft Office, Teams, digital document management systems and electronic governance processes.
  • Excellent attention to detail, discretion and the ability to manage confidential and sensitive information.
  • The ability to establish positive, professional working relationships with Directors, senior executives and external stakeholders.
  • A proactive, reliable and solutions-focused approach to managing responsibilities.

Qualifications in corporate governance, business administration, law or a related discipline would be highly regarded.

Experience with the National Regulatory System for Community Housing, ACNC obligations or governance within the Aboriginal community-controlled or not-for-profit sectors would also be advantageous.

Above all, we're looking for someone with the experience, confidence and professional judgement to manage the company's governance responsibilities with minimal supervision.

A Flexible Role That Supports Work-Life Balance

We recognise that experienced professionals value flexibility, independence and the opportunity to contribute their expertise in a meaningful way.

This position has been designed to provide genuine work-life balance while maintaining the professional standards required of a Company Secretary.

Employment arrangements include:
  • Permanent part-time employment - 22.5 ordinary hours per week, generally worked across three days.
  • Primarily work from home - Undertake most responsibilities remotely using Microsoft Teams and our digital systems.
  • Flexible working arrangements - Plan and coordinate your workload around scheduled meetings, reporting deadlines and governance responsibilities.
  • Additional hours when required - Hours may increase by agreement to a maximum of 38 per week during periods of increased governance activity, including AGM preparation and significant compliance requirements.
  • Port Macquarie attendance - Attend our Port Macquarie office when required for AGM preparation and significant governance activities.
  • Professional autonomy - Take ownership of a clearly defined governance function, working closely with the Board Chair and CEO.

The position reports to the Board through the Chair for governance responsibilities, with day-to-day work coordination undertaken through the CEO.

If you're an experienced Company Secretary who understands Aboriginal corporate governance and enjoys working independently, we'd love to hear from you.
