Confidential in Dubai seeks a Legal & Compliance Officer to manage corporate and regulatory duties, preferably with a real estate background. The role includes drafting and managing key agreements, maintaining corporate registers, and supporting license renewals and UBO compliance.

The candidate will provide general legal support across the business, advise on governance, and implement KYC/Due Diligence processes while keeping current UAE and cross-border laws in view.

Qualifications

• Minimum 2–3 years’ experience in a similar role.
• Experience in Real Estate companies/agencies.
• Background in compliance/due diligence/corporate law.
• Fluency in English and Arabic (verbal and written).

Responsabilités

• Prepare and manage corporate legal documents including Shareholders Agreements, Joint Venture Agreements, Intercompany Agreements, Articles/Memorandums of Associations, Powers of Attorney, Board and AGM Minutes.
• Maintain and manage legal documents using the existing legal server; update corporate registers and LE structure revisions.
• Support the PRO with renewal of licenses, UBO requirements and free zone/government authority requirements.
• Provide general legal support and advisory to mitigate group corporate risk and disputes.
• Stay up-to-date with UAE laws and other jurisdictions where the business operates and advise on amendments.
• Proactively manage renewals/expiries of documents.
• Create and implement KYC/Due Diligence procedures across the business.
• Conduct training on Anti-Bribery/Corruption laws.
• Maintain knowledge of sanctions lists and AB/C laws in UAE and other jurisdictions.
• Review and suggest amendments to business policies in line with legal developments.
• Advise on corporate governance matters and policy implementation.
