Job summary

Placements24 is seeking a Senior Corporate Counsel specializing in mergers and acquisitions to join a globally distributed, fully remote legal team. You will lead high-value international M&A transactions from strategy and due diligence through to closing and post-merger integration, advising executives and business development units while mitigating risk.

Responsibilities

About the Role

Our client is looking for a highly accomplished Senior Corporate Counsel specializing in Mergers & Acquisitions (M&A) to join their globally distributed, fully remote legal team. This critical role involves leading and managing complex M&A transactions, from initial strategy and due diligence through to closing and post-merger integration. You will provide expert legal advice to the executive team and business development unit, mitigating risks and ensuring successful deal execution. This is an exceptional opportunity for a seasoned M&A lawyer to work on high-value international deals, leveraging a remote-first approach and contributing significantly to the company's growth strategy, supported by colleagues across various time zones.

Key Responsibilities

• Lead the legal aspects of mergers, acquisitions, divestitures , and other strategic corporate transactions globally.
• Manage and conduct legal due diligence, identifying key risks and liabilities associated with potential deals.
• Draft, negotiate, and finalize all transaction-related documentation, including term sheets, share purchase agreements, and ancillary documents.
• Advise executive leadership and business development teams on deal structuring, negotiation strategies, and legal considerations.
• Ensure compliance with all relevant securities laws, corporate regulations, and disclosure requirements.
• Coordinate with internal business teams, external counsel, and other advisors to ensure seamless transaction execution.

Requirements

• Admitted attorney with a minimum of 10 years of relevant experience, with a substantial focus on M&A transactions.
• Proven track record of successfully managing and closing complex, multi-jurisdictional M&A deals.
• Deep understanding of corporate law, securities regulations, and transactional practices.
• Exceptional negotiation, drafting, and analytical skills.
