About the Role

Our client, a prominent global entity with extensive operations, is seeking a highly accomplished Lead In-House Counsel to spearhead their Mergers & Acquisitions (M&A) legal strategy. This is a fully remote position, allowing you to operate from anywhere while making a significant impact on our client's strategic growth initiatives. You will be responsible for overseeing all legal aspects of M&A transactions, from initial due diligence and negotiation through to closing and post-merger integration. This role demands extensive experience in complex cross-border deals and a deep understanding of corporate finance and securities law. You will be instrumental in identifying and executing strategic acquisitions and divestitures, contributing directly to the company's global expansion. Key Responsibilities

• Lead and manage all legal aspects of M&A transactions, including due diligence, deal structuring, negotiation, and closing.
• Draft and review M&A agreements, term sheets, and related transaction documents.
• Provide strategic legal advice to the executive team and business development on potential acquisitions, divestitures, joint ventures, and other strategic alliances.
• Coordinate with internal and external legal counsel, investment bankers, and other advisors on deal execution.
• Ensure compliance with all relevant securities laws, corporate governance requirements, and regulatory filings.
• Manage post-closing integration activities from a legal perspective.
• Develop and maintain standardized M&A processes and documentation.
• Conduct legal risk assessments for potential transactions and propose mitigation strategies.
• Mentor and guide junior legal team members involved in M&A activities.

Requirements

• Admitted Attorney of the High Court of South Africa with a minimum of 10 years of M&A experience, with a substantial portion gained in-house or at a top-tier law firm.
• Demonstrated expertise in leading complex domestic and international M&A transactions.
• Strong understanding of corporate law, securities regulations, and transactional finance.
• Exceptional negotiation, drafting, and project management skills.
• Proven ability to provide strategic business-oriented legal advice.
• Excellent leadership and team management capabilities.
• Must be highly organized, detail-oriented, and able to manage multiple high-stakes projects concurrently.
• Superior communication and interpersonal skills.
