INTERNAL AND EXTERNAL VACANCY:EXECUTIVE: LEGAL ANDCOMPLIANCE: CEF TRADING

CEF is aSchedule 2 state owned diversified energy company reporting to the Departmentof Mineral & Petroleum Resources. The Mandate of CEF is to contribute tothe security of energy supply of South Africa and the Region throughexploration, acquisition, development, marketing and strategic partnership. Itis derived from the CEF Act (No 38 of 1977) and the Ministerial directivesissued thereafter.

JOB PURPOSE:

The Executive: Legal & Compliance providesstrategic leadership and oversight of the organisation's legal, governance,regulatory compliance and risk management functions to ensure that CEF Tradingoperates within an effective governance framework, complies with all applicablelegislative and regulatory requirements, and manages legal and commercial risksappropriately. The role is accountable for protecting the organisation's legalinterests, enabling strategic commercial transactions, supporting sound corporategovernance practices, overseeing regulatory compliance obligations andproviding executive-level legal advice to the CEO, Board and management.

REQUIREDMINIMUM QUALIFICATIONS AND EXPERIENCE:

• Matric and LLB / Commercial Law degree or equivalent qualification.
• 10 years’ experience of which 8 years must be at senior management levelwithin legal, governance, compliance or regulatory environments with 3 to 5years’ experience in a similar role.
• Admission as an Attorney is requirement.
• Experience providing legal support for complexcommercial transactions.
• Experience overseeing governance and compliancefunctions.
• Experience engaging with Boards and governancecommittees.
• Experience managing litigation and legal risk.
• Experience operating within regulatedindustries.
• Experience within SOEs, energy, infrastructureor commercial sectors is advantageous.
• Demonstrated experience managing external legaladvisors and specialist service providers.
• Master's degree (NQF 9) in the relevant fieldwill serve as an added advantage.

• Advanced knowledge of legalframeworks in the petroleum and minerals sector

• Overseegovernance frameworks and governance reporting.

Regulatorycompliance & ethics management

• Developand oversee compliance management programmes.
• Monitorregulatory developments and obligations.

Litigationand Legal Risk Management

• Oversee litigation strategy and dispute resolutionprocesses.
• Manage external legal advisors and specialistcounsel.
• Implement legal risk mitigation strategies

EnterpriseGovernance, Risk and Assurance Oversight

• Provide governance oversight of legal andcompliance risks.
• Monitor governance and assurance activities.
• Ensure legal and compliance risks are escalatedappropriately.

Executivereporting and strategic decision support

• Provide legal, governance and compliance reports tothe CEO, Board and Committees.
• Present material legal, governance and regulatoryrisks.
• Support executive and Board decision-making.
• Recommend governance and compliance improvements.
