Job summary

Mizuho is seeking an experienced lawyer to join the Corporate & Technology Legal team in the Americas. The role focuses on drafting, reviewing, and negotiating a wide range of technology and commercial agreements, and advising on third-party vendor relationships and related regulatory issues.

The ideal candidate will have a NY bar and at least three years of relevant experience, with strong negotiation, communication, and analytical skills.

Qualifications

• JD with bar admission in New York
• At least 3 years of relevant law firm or in-house experience
• Demonstrated experience negotiating complex technology and commercial contracts
• Familiarity with legal and regulatory issues relevant to technology (outsourcing, cloud, AI, cybersecurity, data privacy, third-party risk)
• Strong analytical skills and ability to translate laws into practical business solutions
• Excellent written and verbal communication; ability to present legal concepts to non-legal stakeholders
• Ability to work independently and collaboratively in a fast-paced environment
• High level of professionalism, integrity, and attention to detail
• Ability to prioritize and manage multiple projects and deadlines

Responsibilities

• Draft, review, and negotiate third-party vendor agreements (outsourcing, cloud/SaaS, end-user, market data, software development, professional services, SLAs, data processing, NDAs)
• Advise internal stakeholders on legal risks in vendor contracting and respond to contract terms questions
• Coordinate with IP, data privacy, cybersecurity, regulatory compliance, dispute resolution teams for guidance on vendor contracts
• Support third-party risk management and procurement teams as a legal SME
• Maintain templates and know-how related to sourcing and technology matters
• Stay updated on technology-related legal/regulatory developments (AI, cybersecurity, data privacy, third-party risk)
• Handle additional tasks as assigned by the Corporate & Technology Legal team leadership
