Job summary

The VP, Division General Counsel at Penguin Solutions hybrid in Durham, NC will partner with division leadership to shape IP strategy, manage portfolio, and oversee licensing and litigation. The role requires advising on corporate governance, risk, and strategic transactions.

Candidate must have JD, 12+ years IP experience, and a track record directing external counsel while controlling legal budgets in a technology-focused environment.

Qualifications

• J.D. from an accredited law school and active bar membership.
• 12+ years of legal experience with a focus on intellectual property.
• Experience handling patent, trademark, copyright, and trade secret matters.
• Experience managing IP litigation, enforcement actions, and licensing disputes.
• Strong contract drafting and negotiation skills; experience with outside counsel.

Responsibilities

• Develop and execute the company's IP strategy and manage IP portfolio.
• Lead IP litigation, enforcement, and licensing disputes.
• Draft, review, and negotiate commercial agreements.
• Manage risk, governance, and regulatory/compliance considerations.
• Advise division leadership and support governance and strategic initiatives.
• Oversee outside counsel and legal budgets.
