Job summary

Penguin Solutions in Durham, NC seeks a VP, Division General Counsel to lead IP strategy, portfolio development, licensing, and litigation. You will advise on corporate governance and risk, manage outside counsel, and drive strategic transactions.

Qualifications

• J.D. from an accredited law school and active bar membership in at least one U.S. state.
• 12+ years of legal experience with a significant focus on intellectual property law.
• Experience handling patent, trademark, copyright, trade secret, and technology matters.
• Direct experience managing IP litigation, enforcement actions, licensing disputes, and settlement negotiations.

Responsibilities

• Develop and execute the company's IP strategy in alignment with business goals.
• Lead IP portfolio development, filings, registrations, and protection initiatives.
• Advise leadership on IP creation, ownership, commercialization, and competitive positioning.
• Lead IP disputes, licensing disputes, and enforcement with outside counsel oversight.
• Draft, review, and negotiate a wide range of commercial agreements; support M&A when applicable.
• Identify and mitigate legal, regulatory, contractual, and operational risks; lead internal investigations.
