Direct Counsel seeks an Emerging Companies & Venture Capital Associate Attorney to join the corporate practice of a highly respected Am Law firm. Location: Seattle, WA | Portland, OR. You will advise startups and founders on governance, formation, and venture financings, while supporting investors and strategic transactions.

The role offers exposure to high-growth companies and collaboration with technology-focused investors in a dynamic, entrepreneurial environment.

Qualifications

• 2–4 years of experience in emerging companies, venture capital, or corporate transactional law at a law firm.
• Experience advising startups on venture financings, formation, and general corporate matters.
• Strong drafting, negotiation, analytical, and communication skills.
• Ability to manage multiple matters in a collaborative, fast-paced environment.
• Demonstrated interest in working with technology companies, founders, and venture capital investors.
• Active bar admission, or eligibility for admission in the candidate's jurisdiction.

Responsibilities

• Advise emerging growth companies and founders on governance, formation, and corporate matters.
• Represent startups in seed to late-stage venture financings.
• Assist venture funds and investors in financing transactions.
• Support strategic transactions including M&A and secondary transactions.
• Draft and negotiate financing, governance, and investor rights documents.
• Counsel founders on strategic business and operational matters.
• Collaborate with attorneys across practice areas to provide comprehensive solutions.
