Job summary

Talnt seeks a Corporate Associate to join the Emerging Companies & Venture Capital (ECVC) practice in San Francisco. The role targets 2+ years’ transactional experience to advise startups, founders, and investors on sophisticated corporate matters.

The position is hybrid, three days per week in the SF office, with a partnership-track path and exposure to cross-border deals in tech sectors including AI, life sciences, healthcare, and energy.

Qualifications

• 2+ years of experience in mergers and acquisitions, venture capital, securities, or general corporate transactions.
• JD or LLM from ABA-accredited law school; California Bar admission or eligibility.
• Strong drafting, negotiation, analytical and legal research skills.
• Experience supporting transactions from inception through closing.
• Excellent written and verbal communication; strong organization and multi-tasking.
• Ability to work independently and in a team-oriented environment.

Responsibilities

• Represent emerging growth companies, venture-backed businesses, founders, venture funds, and institutional investors in a broad range of corporate transactions.
• Draft, review, and negotiate venture financings, M&A, securities offerings, and general corporate agreements.
• Advise on formation, governance, capitalization, equity compensation, and compliance.
