Talnt seeks a Corporate Associate for Emerging Companies & Venture Capital (ECVC) in Boston, MA or New York, NY. This full-time, hybrid role offers partnership-track potential and a compensation range of $235,000 to $365,000 annually, plus performance-based bonus.

The ideal candidate has 4–5 years of experience representing emerging growth companies and VC investors, leads financing transactions, advises on formation, governance and equity compensation, and mentors junior attorneys while

Competenze

• JD or LLM from an ABA-accredited law school.
• 4–5 years of experience in corporate transactions.
• Bar admission in MA or NY, or eligibility.
• Experience with venture capital financings and startup counseling.

Mansioni

• Represent emerging growth companies and investors in corporate matters.
• Draft and negotiate VC financing documents (preferred stock, SAFEs, notes).
• Advise on formation, governance, equity compensation, and general corporate matters.
• Counsel boards and executives on fiduciary responsibilities and strategic decisions.
• Mentor junior associates and manage transaction teams.
