Job summary

Talnt is seeking a Corporate Associate for its Emerging Companies & Venture Capital (ECVC) practice. The role targets 4–5 years of experience and offers a partnership-track path advising startups, founders, venture funds, and strategic investors through formation, financings, growth, and exits.

The position is hybrid (Boston or New York) with about three days in the office each week, and a competitive $235k–$365k base plus performance bonus.

Qualifications

• 4 to 5 years of experience representing emerging companies and investors.
• Experience leading venture financings and advising on corporate matters.

Responsibilities

• Represent startups, founders, funds, and investors in corporate matters.
• Draft and negotiate venture financings and related documents.
• Advise on formation, governance, equity compensation, and strategy.
• Counsel boards and executives on fiduciary duties and stockholder issues.
• Manage term sheets, due diligence, and closing processes.
• Mentor junior associates and lead transaction teams.
• Collaborate across tax, IP, employment, and securities groups.
