Job summary

Ascendion seeks a Corporate / Venture Capital Associate Attorney with 3–5 years of experience in corporate law, M&A, and especially venture capital and emerging company financing. You will advise startups and investors on financing matters and structure and negotiate funding rounds and capital raises.

The role requires hands-on experience in venture capital transactions, equity financings, and related documents, with strong drafting and negotiation skills.

Qualifications

• 3–5 years of experience in corporate law, corporate finance, and/or M&A.
• Direct, hands-on venture capital and emerging company financing experience.
• Experience structuring, negotiating, and executing funding transactions and capital raises for startups and emerging companies.
• Experience with venture capital funding rounds, equity financings, and investor transactions.
• Big Law experience is a plus.
• Excellent drafting, negotiation, analytical, and communication skills.

Responsibilities

• Advise startups, founders, emerging companies, and investors on corporate and financing matters.
• Structure and negotiate venture capital financings, equity investments, and other capital-raising transactions.
• Develop and execute financing strategies and funding structures for emerging businesses.
• Handle M&A, strategic investments, and other complex corporate transactions.
• Draft and negotiate term sheets, financing agreements, stock purchase agreements, investor rights agreements, and related corporate documents.
• Provide ongoing strategic legal counsel to emerging companies throughout their growth lifecycle.
• Exposure to sophisticated venture capital and emerging company transactions.
• Direct interaction with founders, entrepreneurs, investors, and high-growth businesses.
