Job summary

Marina Sirras & Associates LLC is seeking a mid-level corporate associate for its venture capital and emerging companies group. The role involves advising startups and investors through funding rounds, governing structures, and equity plans, collaborating with M&A, capital markets, tax, compensation, and tech teams in a fast-growth environment.

Qualified candidates have 3–5 years in venture-capital and emerging companies work, a U.S. law degree, and bar admission in the relevant state.

Qualifications

• Authorized to work in the United States.
• 3–5 years of law firm experience in venture capital and emerging companies work.
• Hands-on experience with venture financings for both companies and investors.
• Knowledge of Delaware corporate matters, startup equity plans, and private company governance a strong plus.
• J.D. from an accredited U.S. law school with strong academic credentials.
• Admitted (or able to be promptly admitted) to the bar in the office location.

Responsibilities

• Help clients set up and structure new companies.
• Advise on governance and equity incentive matters.
• Lead drafting and negotiation of financing documents for priced rounds as well as SAFEs and convertible notes.
• Partner with M&A, capital markets, tax, compensation, and technology groups as businesses scale.
