Job summary

Ascendion seeks a Corporate / Venture Capital Associate Attorney with 3–5 years of experience in corporate law, M&A, and especially venture capital and emerging company financing. You will advise startups and investors on financing matters and structure and negotiate funding rounds and capital raises.

The role requires hands-on experience in venture capital transactions, equity financings, and related documents, with strong drafting and negotiation skills.

Qualifications

• 3–5 years of experience in corporate law, corporate finance, and/or M&A.
• Direct, hands-on venture capital and emerging company financing experience.
• Experience structuring, negotiating, and executing funding transactions and capital raises for startups and emerging companies.
• Experience with venture capital funding rounds, equity financings, and investor transactions.
• Big Law experience is a plus.
• Excellent drafting, negotiation, analytical, and communication skills.

Corporate / Venture Capital Associate Attorney

We are seeking a Corporate Associate Attorney with 3–5 years of experience in corporate law, M&A, and corporate finance, with a demonstrated and substantial background in venture capital and emerging company financing.

The ideal candidate must have hands‑on experience advising startups, emerging growth companies, and/or venture capital investors on financing and funding transactions. This is not a general corporate or M&A position. Direct experience structuring, negotiating, and executing venture capital financings and capital‑raising transactions is essential.

Big Law experience is a plus, particularly for candidates with sophisticated transactional training and experience handling complex financing matters.

Required Experience & Qualifications:

• 3–5 years of experience practicing corporate law, corporate finance, and/or M&A.
• Must have direct, hands‑on experience with venture capital transactions and emerging company financing.
• Demonstrated experience structuring, negotiating, and executing funding transactions and capital raises for startups and emerging companies.
• Experience with venture capital funding rounds, equity financings, preferred stock offerings, and investor transactions.
• Strong understanding of financing structures, capitalization, investment terms, and capital formation.
• Experience advising founders, startups, emerging companies, and/or venture capital investors.
• Ability to independently draft and negotiate financing documents, term sheets, stock purchase agreements, investor rights agreements, and related transaction documents.
• Big Law experience is a plus.
