Qualifications

• Must be authorized to work in the United States.
• 3–5 years of law firm experience in venture capital and emerging companies work.
• Hands-on experience with venture financings on behalf of both companies and investors.
• Working knowledge of standard venture deal documents and terms.
• Experience with Delaware corporate matters, startup equity plans, and private company governance is a strong plus.
• J.D. from an accredited U.S. law school with strong academic credentials.
• Admitted (or able to be promptly admitted) to the bar in the office location.

Responsibilities

• Set up and structure new companies.
• Advise on governance and equity incentive matters.
• Lead the drafting and negotiation of financing documents for priced equity rounds as well as SAFEs and convertible notes.
• Partner with colleagues in M&A, capital markets, tax and compensation, and technology groups to support clients as their businesses scale.
