Job summary

Wilson Sonsini Goodrich & Rosati is seeking an in-house Vendor Management Counsel to lead the firm’s vendor and supplier contracting, including AI-related engagements. This role supports multiple business functions and collaborates with privacy, data security, IT, and finance teams. A J.D.

plus 3+ years of contract drafting/negotiation is required. The position can be hybrid or fully remote, with a base compensation described across listed locations.

Qualifications

• J.D. from an ABA-accredited law school; active bar in at least one U.S. jurisdiction.
• Minimum 3 years of drafting and negotiating a variety of commercial contracts, including technology agreements.
• Strong drafting, negotiation and business-partnering skills.
• Familiarity with generative AI contracting concepts, including data rights and restrictions, confidentiality of inputs/outputs, and IP ownership.
• Ability to manage a high volume of matters with competing deadlines.

Responsibilities

• Serve as primary lawyer for the firm’s vendor and supplier contracts across all business functions
• Draft, review and negotiate a broad range of commercial agreements (technology licenses, SaaS, PSAs, etc.)
• Lead contracting for technology and AI-related engagements with data rights and liability allocation
• Coordinate with privacy, data security, and tech transaction teams on escalated matters
• Partner with Finance, IT, Information Security and stakeholders to align terms with internal policies
• Support and maintain standard contract templates and clause guidance
• Monitor AI governance, data privacy and tech contracting developments for GC guidance
