Zusammenfassung

Nebius is seeking an experienced U.S. Securities and Transactions Counsel to act as the company’s primary legal expert on U.S. securities law and NASDAQ compliance.

You will lead SEC reporting, disclosure and governance programs while collaborating with Finance, Investor Relations, and senior leadership. Responsibilities include advising on financing, M&A and other strategic transactions, drafting disclosures, and guiding Rule 10b5-1 planning.

Qualifikationen

• J.D. is required from an accredited law school.
• Active bar admission in at least one U.S. jurisdiction is required.
• Extensive experience in U.S. securities law and public-company matters.

Aufgaben

• Lead preparation and filing of SEC reports (20-F, 6-K, Form 16, etc.).
• Advise on governance and NASDAQ listing standards.
• Counsel on capital markets transactions, including equity and debt offerings.
• Provide securities law counsel throughout the M&A lifecycle.
