Cerence Inc. in the United States is seeking an experienced SEC & Corporate Governance Attorney to join the Legal team as a senior advisor on U.S. securities law compliance, SEC reporting, and governance matters.

You will support the Board, executives, finance, IR, and internal audit to ensure accurate disclosures and robust governance frameworks. Responsibilities include leading Form 10-K/10-Q/8-K review, advising on Regulation FD and insider trading, and guiding executive compensation

Qualificações

• Juris Doctor (J.D.) from an accredited law school.
• Active membership in at least one U.S. state bar.
• 7–10 years in: public company securities law, governance, capital markets, and corporate transactions.

Responsabilidades

• Lead legal review and preparation of SEC filings and disclosures.
• Advise on Regulation FD and insider trading compliance.
• Guide the Board on governance matters and prepare materials.
• Support executive compensation disclosures and equity programs.
• Assist with corporate transactions and due diligence.
• Develop and administer compliance and risk-management programs.
