Eugenus Inc. is seeking a Senior Legal Counsel, Corporate & Securities to lead IPO readiness and governance as the company prepares for a potential U.S. IPO. You will coordinate with external advisors, management, and boards on securities, equity compensation, and strategic transactions.

The role evolves into a key governance position after the IPO, supporting the company as a U.S. public entity and interacting with investment banks, auditors, and regulators.

Qualifications

• J.D. from an accredited U.S. law school is required.
• Active membership in good standing with at least one U.S. state bar; California Bar preferred.
• 8+ years of relevant legal experience at a leading law firm or corporate legal department.

Responsibilities

• Support the Company’s U.S. IPO readiness and execution process including S-1 and SEC filings.
• Coordinate cross-functional IPO workstreams with Legal, Finance, Tax, HR and other teams.
• Manage corporate governance, board matters, and securities disclosures for a U.S. public company.
• Provide legal support for equity compensation, cap table management, and corporate transactions.
