Job summary

Flagship Pioneering is seeking a highly motivated Transactions Counsel to join the growing Transactions team. The role involves handling dozens of complex transactions, including joint ventures, partnerships, M&A and licensing, with leadership from the cross-disciplinary APEX Group.

The position offers exposure to high-growth companies, equity financings, governance matters, and the opportunity to manage external counsel to close many deals.

Qualifications

• JD degree required with admission to practice law in MA or another US state.
• 3–5 years of relevant experience in corporate transactions.
• Strong understanding of equity financing, equity awards, and governance.

Responsibilities

• Partner with internal stakeholders and outside counsel on a wide range of transactions and corporate matters, including venture financings, capital markets, and M&A.
• Provide legal counsel and support for high-growth portfolio companies.
• Draft, review and negotiate financing and governance documents (term sheets, financing documents, board/stockholder consents).
• Conduct legal research for senior corporate attorneys.
• Guide internal finance and portfolio teams on governance matters and internal policies.
• Manage external counsel to drive deals to closure.
• Develop relationships with stakeholders and portfolio company teams.
