Job summary

Oticon Inc. is seeking a transactional attorney with 2+ years of experience to support contract negotiation, drafting, and governance.

You will counsel business colleagues on compliance and risk, and help maintain corporate governance documents and policies while contributing to operations. The role reports to Senior Counsel, Complex Transactions, and requires on-site work in Somerset, NJ on Tuesdays and Thursdays, with collaboration across a fast-paced legal team in the healthcare/privacy

Qualifications

• J.D. degree from an ABA-accredited law school.
• Minimum 2 years as corporate or transactional attorney.
• Energetic, hands-on, proactive in counseling and transactions.

Responsibilities

• Prepare, negotiate, review, and revise diverse contracts.
• Counsel business stakeholders throughout the transaction process.
• Assist with merger and acquisition due diligence, schedules, and related M&A.
• Develop and maintain policies and playbooks for recurring transactions.
• Draft and maintain corporate governance documents and policies.
• Lead internal projects related to governance and contracting processes.
• Weigh legal risk against business needs with sound judgment.
• Adapt quickly in a fast-paced environment.
