You will advise business colleagues on contract negotiation, drafting, governance, and risk, and support merger and acquisition due diligence, with a focus on practical, timely guidance in a fast-paced environment.

Qualifications

• Minimum 2 years as a corporate or transactional attorney handling a broad spectrum of issues.
• Licensed to practice in PA, NJ, or NY.
• Able to weigh legal risk against business needs with sound judgment.
• Healthcare industry experience preferred but not required.

Responsibilities

• Prepare, negotiate, review, and revise diverse contracts.
• Counsel business stakeholders through transaction negotiations.
• Assist with M&A due diligence and related schedules.
• Develop and maintain policies and playbooks for recurring transactions.
• Draft and maintain corporate governance documents.
• Lead internal projects related to governance and contracting.
• Weigh legal risk against business needs with sound judgment.
• Be comfortable in a fast-paced environment.
• Display high ethical conduct and integrity.
• Develop compliant solutions to resolve complex business issues.
• May perform other tasks as directed.
