Job summary

Gilder Search Group seeks a Corporate Paralegal II for a global law firm in New York City. You will assist departmental attorneys and senior paralegals across all phases of transactions, from inception through closing, with exceptional attention to detail.

Responsibilities include drafting and reviewing corporate/finance documents, maintaining checklists and trackers, and supporting equity management with Carta, Shareworks, and Diligent.

Qualifications

• Thorough knowledge of state corporation laws and federal/state securities laws/regulations.
• Interpersonal skills and ability to interact with all levels of the firm.
• Ability to work in a team with a client-service focus.
• Bachelor's degree or equivalent.
• ABA-approved paralegal certificate or California declaration if in CA office.
• Minimum of four years of law firm paralegal experience.

Responsibilities

• Assist attorneys with corporate and finance transactions, including research, checklists, trackers, closing documents, and contract review.
• Prepare initial drafts and documentation for entities (corporations/LLCs).
• Prepare formation, registration, and dissolution filings and maintain corporate records.
• Create and maintain Carta files and other equity software.
• Onboard records for new clients and organize capitalization tables.
• Prepare and maintain formation documents and foreign registrations for various entities.
• Maintain corporate records (minutes, resolutions, stock ledgers) and equity management platforms.
• Provide transactional support for M&A, securities offerings, and corporate restructurings.
