Qualifications

• Bachelor’s degree required.
• At least five years paralegal experience.
• Notary license preferred (New York).
• Leadership experience preferred.

Responsibilities

• Assist lawyers on matters requiring high-level paralegal support.
• Support full life cycle of corporate transactions (mergers, financings, offerings).
• Assist with formation, maintenance and dissolution of business entities.
• Draft, prepare and file registration statements and other SEC filings.
• Assist with EDGAR and UCC searches; obtain good standing certificates; update governance documents; perform due diligence; prepare stock certificates.
• Perform routine administrative tasks and other duties as needed.
