Qualifications

• J.D. from an accredited law school and active State Bar of California in good standing.
• Strong legal writing, analytical, and drafting skills.
• Excellent verbal communication and interpersonal skills.
• Proven ability to manage multiple matters with deadlines.

Responsibilities

• Draft, review, and revise transactional documents including LLC operating agreements, partnership agreements, corporate documents, consents, and resolutions.
• Assist with formation, structuring, governance, and maintenance of LLCs, FLPs, and other closely held entities.
• Prepare and review deeds and real estate transfer documents related to business and estate planning matters.
• Support business and family entity ownership structures and succession planning.
• Conduct legal research and analyze transactional, structuring, and planning issues.
• Prepare memoranda, correspondence, and other written materials summarizing analysis and risks.
• Review existing documents to identify issues and opportunities for improvement.
• Collaborate with attorneys across business transactions and estate planning practices on client matters.
• Communicate effectively with clients, attorneys, accountants, and advisors.
• Manage multiple assignments with tight deadlines and high accuracy.
