The ideal candidate has M&A, private placements, entity formation, contract negotiation, and corporate governance experience, with real client exposure early. You will work directly with partners who have run legal departments, focusing on growth as the firm expands.

Qualifikationen

• JD with writing sample.
• 2–4 years of experience in business/transactional law in large to midsize firm.
• Active Texas license to practice law in good standing.
• Strong drafting, negotiation, and communication skills; ability to work independently and in a team.

Aufgaben

• Provide legal support and guidance on business transactions including M&A, private placements, joint ventures, and strategic alliances.
• Draft, review, and negotiate complex commercial agreements (LOIs, asset and stock purchase agreements, LLC/partnership agreements, NDAs, etc).
• Conduct due diligence investigations and risk assessments for transactions; identify issues and propose solutions.
• Advise on corporate governance matters including board meetings and regulatory compliance.
• Keep updated on laws and industry trends affecting clients; flag issues early.
• Collaborate with Litigation Section on shared matters and referrals to offer unified client service.
• Develop relationships with clients and colleagues to generate future business.
• Support growth of the Business Section as the firm expands.
