Job summary

CNA Search is seeking an experienced Associate Attorney to support our transactional team in Texas. The role emphasizes corporate and business law with a concentration on transactional matters, including commercial real estate and business transactions.

The ideal candidate will collaborate with clients, senior attorneys, and staff to deliver high-quality legal services in a fast-paced environment. J.D. preferred and Texas Bar admission required.

Qualifications

• J.D. from an accredited law school.
• Licensed to practice law in Texas and in good standing with the Texas State Bar.
• 2–5 years of experience in corporate law, commercial transactions, and real estate.

Responsibilities

• Draft, review, and negotiate contracts, purchase agreements, operating agreements, and other corporate documents.
• Assist clients with business formations, mergers and acquisitions, corporate governance, and compliance matters.
• Conduct legal research and provide strategic advice to clients on business-related issues.
• Participate in due diligence for business and real estate transactions.
• Work with the transactional team to support client needs and objectives.
• Maintain strong client relationships and ensure timely communication.
• Participate in all aspects of commercial real estate transactions.

Key Responsibilities

• Draft, review, and negotiate contracts, purchase agreements, operating agreements, and other corporate documenents
• Assist clients with business formations, mergers and acquisitions, corporate governance, and compliance matters
• Conduct legal research and provide strategic advice to clients on various business-related legal issues
• Participate in due diligence processes for business and real estate transaction
• Work collaboratively with the firm’s transactional team to support client needs and business objectives
• Maintain strong client relationships and ensure timely and effective communication
• Participate in all aspects of commercial real estate transactions
