Opp Law PLLC is seeking a Technology Transactions Attorney to join our remotely staffed team across the United States. The role centers on drafting, reviewing, and negotiating technology agreements, with an emphasis on SaaS and AI, taking ownership of matters from start to finish.

The ideal candidate has a JD and bar license, 2+ years in commercial tech transactions, and can advise on liability, privacy, IP, and audit rights.

Qualifications

• JD degree in good standing with a bar license in any U.S. state.
• 2+ years of experience in commercial and technology transactions, ideally in B2B tech.
• Hands‑on experience drafting, reviewing, and negotiating SaaS and AI agreements.

Responsabilités

• Independently draft, review, and negotiate commercial and technology agreements (SaaS, MSAs, Order Forms, SOWs, DPAs, professional services, vendor agreements).
• Support sales transactions and negotiate with enterprise customers and their legal/procurement teams.
• Advise clients on liability, indemnification, IP, privacy and security, warranties, SLAs, and audit rights.

We are seeking a proactive and growth-minded Technology Transactions Attorney with experience in technology transactions, particularly B2B SaaS and AI. Responsibilities:

• Independently draft, review, and negotiate commercial and technology agreements, including SaaS agreements, MSAs, Order Forms, SOWs, DPAs, professional services agreements, and vendor agreements
• Support sales-side transactions and negotiate directly with enterprise customers and their legal and procurement teams
• Advise clients on key technology contracting issues, including liability, indemnification, intellectual property, privacy and security, warranties, SLAs, and audit rights
• Manage contract negotiations from start to finish while providing practical, business-oriented legal guidance
• Identify and communicate legal and business risks in a clear, practical manner
• Manage multiple concurrent transactions and competing deadlines in a fast-paced environment
• Work closely with clients and serve as a trusted extension of their legal and business teams

Requirements:

• A JD + a bar license in any state that is in good standing
• The ability to come in person to the Miami‑office 1-2 times per year
• 2+ years of experience in commercial and technology transactions ideally in B2B technology companies, including negotiating contracts
• Substantial hands‑on experience drafting, reviewing, and negotiating commercial technology agreements, particularly SaaS and AI agreements
• An understanding of sales-side transactions and the process of closing enterprise tech deals
• Familiarity with privacy issues and experience working with DPAs and privacy‑related contract provisions
• An ability to independently manage negotiations and exercise sound legal and business judgment with limited supervision
• Strong communication skills with the ability to explain complex legal issues clearly to business clients
• An ability to manage a high volume of concurrent negotiations and competing deadlines
• Strong law firm training and/or meaningful in‑house technology company experience

Bonus Experience:

• A bar license in California, New York, Washington, or Texas
• In‑house experience at a tech company
• Big‑Law experience
• Experience supporting sales teams
