Job summary

CyberCoders is seeking an IP & Technology Attorney in Los Angeles to advise on intellectual property strategy, technology transactions, and data privacy. Qualifications

• JD or equivalent law degree and active admission to practice in the U.S.
• 3+ years of experience advising on technology, IP and commercial transactions in a law firm or in-house legal team.
• Proven experience drafting and negotiating software licensing, SaaS agreements, MSAs, and data license agreements.
• Practical knowledge of data privacy laws (GDPR, CCPA/CPRA) and cross-border data transfers preferred.
• Experience advising on cybersecurity, incident response, and security controls; familiarity with industry standards.
• Excellent drafting, negotiation and problem-solving skills with a commercial mindset.
• Proven ability to work cross-functionally with engineering, product and commercial teams; experience with OSS licensing a plus.

Responsibilities

• Draft, review, and negotiate software licensing, SaaS, MSAs, data license, OEM/distribution agreements and related technology contracts.
• Advise on IP strategy, including protection, licensing, assignments, and portfolio management for patents, trademarks, copyrights, and trade secrets.
• Provide practical counsel on data privacy and data security compliance (GDPR, CCPA/CPRA) and contractual obligations.
• Counsel on cybersecurity incidents and breach response; coordinate with incident response teams and outside counsel as needed.
• Support commercial transactions and M&A due diligence focusing on IP, software, data and security risk.
• Manage disputes and enforcement related to IP and technology; coordinate with outside counsel as required.
• Collaborate with product, engineering, security, and sales teams to structure risk-calibrated terms and develop playbooks.
• Monitor developments in tech, data privacy, cybersecurity, and IP law; update policies and advise stakeholders.

Position Overview

We are seeking a knowledgeable IP & Technology Attorney to advise on intellectual property strategy, technology transactions, and data security/privacy matters. The successful candidate will draft and negotiate software and technology agreements (including SaaS agreements, MSAs and data licenses), counsel on cybersecurity and data protection compliance, and support commercial and transactional initiatives. This role requires a pragmatic, businessfocused lawyer who can partner with product, engineering, and commercial teams to manage risk and enable growth.

Compensation

$265k - $320k base + bonuses

Key Responsibilities

• Draft, review, and negotiate software licensing agreements, SaaS agreements, master services agreements (MSAs), data license agreements, OEM/distribution agreements, and related technology contracts.
• Advise on intellectual property strategy, including protection, licensing, assignments, and portfolio management for patents, trademarks, copyrights, and trade secrets.
• Provide practical legal counsel on data privacy and data security matters, including compliance with applicable laws (e.g. GDPR, CCPA/CPRA) and contractual privacy/security obligations.
• Counsel on cybersecurity incidents and breach response playbooks; coordinate with incident response teams and outside counsel as needed.
• Support commercial transactions and M&A due diligence with a focus on IP, software, data, and security risk assessment.
• Manage disputes and enforcement related to IP and technology, working with outside counsel on litigation or alternative dispute resolution as required.
• Collaborate closely with product, engineering, security, and sales teams to structure riskcalibrated contractual terms and to provide training and playbooks for common deal types.
• Monitor legal and regulatory developments in technology, data privacy, cybersecurity, and IP law; update policies and advise stakeholders on impacts to business operations.
• Manage external law firms and budgets where appropriate; contribute to process improvements and standardization of templates and playbooks.

Qualifications

• Juris Doctor (JD) or equivalent law degree and active admission to practice law in the relevant U.S. jurisdiction.
• 3+ years of experience advising on technology, intellectual property and commercial transactions in a law firm or inhouse legal team
• Demonstrated experience drafting and negotiating software licensing, SaaS agreements, MSAs, and data license agreements.
• Practical knowledge of data privacy laws and data security practices; experience with GDPR, CCPA/CPRA, and crossborder data transfer issues preferred.
• Experience advising on cybersecurity, incident response, and security controls, and familiarity with industry security standards and best practices.
• Strong understanding of intellectual property issues including copyright, trademark, patent basics, trade secret protection, and assignment/licensing mechanisms.
• Excellent drafting, negotiation and problemsolving skills with a commercial mindset and ability to communicate complex legal concepts to nonlawyers.
• Proven ability to work crossfunctionally with engineering, product and commercial teams and to manage multiple matters simultaneously.
• Preferred: certifications or training in privacy/security (e.g., CIPP, CISSP) and prior experience with open source licensing, software development lifecycle issues, and handling IP due diligence for transactions.
