Job summary

Tavily is seeking a Technology Commercial Legal Counsel to join our Legal team in Austin, Texas or New York. You will draft, review, and negotiate a wide range of customer-facing and commercial agreements, including SaaS, Reseller, and SLAs, while ensuring privacy compliance across GDPR, CCPA, and other global standards.

You will partner with Go-to-Market teams, provide practical guidance during negotiations, and help build regional contract playbooks and templates as the business scales.

Qualifications

• Strong experience drafting and negotiating complex commercial and technology agreements.
• Experience with global privacy regulations (GDPR, CPRA, U.S. state privacy laws).
• Experience with SaaS AI companies and DPAs.
• Bar admission in the U.S., EU, or Israel.

Responsibilities

• Own the drafting, review, and negotiation of a wide range of customer-facing and commercial agreements.
• Provide practical, business-oriented advice to Go-to-Market teams during negotiations.
• Support Tavily’s privacy and data protection program and ensure regulatory compliance.
• Review and negotiate DPAs and guide privacy matters.
• Drive cross-border, high-stakes transactions with multiple stakeholders.
• Advise on local legal/regulatory requirements and translate into practical guidance.
• Develop regional contract templates, playbooks, and processes as the business scales.

You will take ownership of drafting, reviewing, and negotiating worldwide agreements that underpin Tavily’s business operations, while ensuring our compliance with global privacy and data protection regulations.

Your Responsibilities Will Include

• Own the drafting, review, and negotiation of a wide range of customer-facing and commercial agreements, including:
• Customer-related transactions, such as SaaS Agreements, Reseller Agreements, and Service Level Agreements.
• Act as the primary legal partner for Go-to-Market teams, providing practical, business-oriented advice throughout customer negotiations.
• Support and enhance Tavily’s privacy and data protection program, ensuring compliance with applicable regulations such as GDPR, CCPA, and other global standards.
• Review and negotiate DPAs and provide ongoing legal guidance on privacy matters.
• Procurement-related transactions with various vendors and partnership agreements.
• Drive complex, cross-border, and strategically important transactions involving multiple internal and external stakeholders.
• Advise internal stakeholders on local legal and regulatory considerations, translating regional requirements into practical guidance for global teams.
• Build and continuously improve regional contract templates, playbooks, legal processes, and guidance materials as the business scales.

We Expect You To Have

• Bar admission in the U.S., EU, or Israel.
• LL.B. or equivalent law degree from a top-tier university.
• Strong experience drafting and negotiating complex commercial and technology agreements, particularly Fortune 500 customer-facing contracts under pressure.
• 4-9 years of experience post internship/trainee program, practicing tech commercial and privacy law at both a leading law firm and as in-house counsel at a tech company.
• Strong experience in drafting and negotiating technology commercial agreements (including DPAs).
• Experience in SaaS AI companies.
• Experience with global privacy regulations (such as GDPR, CPRA, and U.S. state privacy laws).
• Experience with U.S. copyright and intellectual property laws.
• Attention to details and ability to work accurately under time pressure.

It Will Be An Added Bonus If You Have

• Familiarity with global AI regulations.
• Familiarity with data purchasing agreements.

Pay Transparency

We offer competitive compensation and benefits packages. Actual compensation will be determined based on job-related factors, including experience, skills, qualifications, the level at which the candidate is hired, and geographic location, consistent with applicable law.

Base Compensation Range

$206,400—$258,000 USD
