Unknown law firm in San Francisco, CA seeks an experienced Technology Transactions Associate Attorney to join its leading Technology Transactions Practice Group. The candidate will handle global technology/IP agreements, licensing, development, and services, with a focus on IP diligence for M&A and equity financing.

Requires a JD from a top-tier law school, California Bar admission, and 3–6 years of IP and commercial transaction experience in a law firm.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Active Bar Admission in California, in good standing.
• 3–6 years of substantive IP and commercial transactions experience in a law firm setting.
• Experience structuring, drafting, and negotiating complex IP and technology-related agreements.
• Experience with IP aspects of M&A and equity financing transactions.

Responsibilities

• Draft, review, and negotiate a wide range of technology and IP agreements, including licensing, development, services, supply & distribution, manufacturing, and collaborations.
• Provide IP diligence and strategic counseling in connection with M&A, equity financing, E-commerce, media, and entertainment transactions.
• Collaborate with internal corporate, litigation, and regulatory teams to address IP-related risks and strategy.
• Advise clients on structuring commercial transactions that align with evolving business models and technology trends.
• Work directly with clients to understand their business objectives and craft tailored legal solutions.
• Contribute to team development, knowledge sharing, and client growth initiatives.
