Job summary

Eden Rose USA is seeking an IP/Tech Transactions Associate to join a high‑performing team across multiple locations, including NY. The role focuses on sophisticated transactions where IP assets drive deal value and may involve licensing, data components, and AI considerations.

The candidate should have 2–6 years of IP transactions experience, plus active bar admission. This is an opportunity to work on complex matters including licenses, JVs, M&A, and more within a premier Am Law‑level

Qualifications

• 2–6 years of IP transactions and IP licensing experience.
• Preference for experience handling complex licensing or commercial agreements involving technology, software, and/or data components.
• Preference for experience using AI with IP/tech transaction workflows.
• Preference for patent litigation experience.
• Active license to practice law.

Responsibilities

• Provide counsel to a broad base of clients on complex transactional matters involving IP, technology, and data assets.
• Support transactional workload that includes joint ventures, carve-outs, divestitures, M&A transactions, and investments across technology, software, data, and consumer products.
• Draft, review, and negotiate IP and technology license agreements, IP assignments, software and cloud services agreements, and other IP and commercialization agreements.
• Provide guidance on IP, data, and technology issues, including AI deployment and use, in connection with product launches, e-commerce, advertising, and media transactions.

What you bring
