Qualifications

• Bachelor's Degree in Business, Accounting, Finance, or related field.
• 3–6 years of directly related paralegal experience.
• Experience supporting IPOs, mergers & acquisitions, and other corporate transactions.
• Experience with stock options and cap table management software (e.g., eProsper, Carta, Shareworks, Pulley).
• Proficiency with DocuSign and MS Office.

Responsibilities

• Proficiency in client capitalization database (Carta, Shareworks, Pulley).
• Assist with management and maintenance of capitalization records.
• Aid in drafting and filing federal and blue sky securities filings and notices.
• Support attorneys in the preparation of formation and initial financing documents.
• Preparation and maintenance of corporate records.
• Assist in the preparation of closing documents and post-closing tasks.
