Qualifications

• Bachelor’s Degree, preferably in Business, Accounting, Finance, or related work experience.
• 7 to 10 years of experience as a corporate/securities paralegal in a law firm environment.
• Experience with capitalization management software (Carta/Shareworks/Pulley).
• Knowledge of capitalization fundamentals and securities law requirements.
• Ability to read and interpret spreadsheets, plan documents, and security-related agreements.
• Proficiency in Excel including complex sorting/filtering, formulas, pivot tables, and data analysis.

Responsibilities

• Proficiency in client capitalization database (e.g., Carta, Shareworks, Pulley).
• Assist with management and maintenance of capitalization records
• Aid in drafting and filing federal and blue sky securities filings and notices
• Support attorneys in the preparation of formation and initial financing documents
• Corporate records maintenance, including minute books and Board of Directors minutes
• Assist in the preparation of closing documents and perform post-closing tasks
• Support deal closings, entity formation, and registration filings for clients
