Job summary

Seyfarth Shaw LLP in Los Angeles seeks a transactional tax associate with at least 2 years of big‑law experience to join our Tax‑Exempt Organizations Practice Group in the Downtown LA office.

You will advise nonprofits and tax‑exempt entities on mergers, reorganizations, governance, and related tax matters, collaborating with partners on sophisticated matters across education, healthcare, research and other mission‑driven sectors.

Qualifications

• At least 2 years of transactional tax experience at a big law firm.
• Prefer experience with nonprofits and tax-exempt organizations.
• Admission to the California Bar.
• LLM in Taxation preferred but not required.

Responsibilities

• Draft and review transaction documents and related board materials for nonprofit mergers, acquisitions, joint ventures, conversions, spin-offs, corporate reorganizations, tax-exempt bond financings and other transactions.
• Support nonprofit and tax-exempt clients on tax compliance, unrelated business income, private inurement/benefit, intermediate sanctions, sophisticated executive compensation matters, governance, fundraising and charitable giving issues.
• Work directly with partners and clients on sophisticated matters across healthcare, education, research, and other mission-driven sectors.
