This role specializes in transactional tax for nonprofits, educational institutions, healthcare systems, and foundations, with work spanning governance, tax planning, and compliance.

The successful candidate will join a team of experienced practitioners, advising on mergers, joint ventures, reorganizations, and related tax matters, while collaborating across corporate,

Qualifikationen

• J.D. from an accredited law school and California Bar membership.
• At least 2 years of transactional tax experience in a large law firm.
• Experience advising nonprofit or tax-exempt organizations.
• Strong drafting, analytical, and problem-solving abilities.

Aufgaben

• Advise nonprofit and tax-exempt organizations on transactional, operational, and tax matters.
• Draft and negotiate documents relating to nonprofit mergers and acquisitions, joint ventures, reorganizations, spin-offs and financings.
• Prepare governance materials, IRS submissions and exemption filings.
• Counsel on tax-exempt status, UBIT, private inurement, sanctions, compensation, and governance issues.
• Assist organizations and leaders with complex operational and tax planning issues.
• Collaborate with attorneys across corporate, tax, healthcare and private client practices.
