A reputable law firm is seeking a highly skilled Tax Equity Associate Attorney to join its team. The ideal candidate will possess strong transactional experience in tax equity financing, tax credit purchase agreements, and related transactions. Duties
- Draft and negotiate key transactional documents such as equity capital contribution agreements, membership interest purchase agreements, LLC agreements, tax credit purchase agreements, and other related legal documents.
- Provide guidance and legal support in the preparation and negotiation of tax equity financing structures.
- Conduct due diligence on essential project agreements, including offtake agreements, EPC contracts, supply agreements, O&M services agreements, and other project-related contracts.
- Assist in the development and structuring of tax equity transactions, including reviewing financial models and identifying tax benefits.
- Collaborate with internal and external stakeholders to ensure successful project execution.
- Provide advice on legal risks, compliance, and business strategy about tax equity matters.
Requirements
- 3-6 years of significant transactional experience in tax equity financing, tax credit transactions, and related legal matters.
- Expertise in negotiating and drafting complex legal documents related to equity investments and tax credits.
- Strong understanding of project finance structures and tax laws affecting equity transactions.
- Proven ability to manage multiple priorities in a deadline-driven environment.
- Strong communication and interpersonal skills, with the ability to work well in a team and independently.
Education
- Juris Doctor (JD) degree from an accredited law school.
Certifications
- Admission to the New York State Bar or the ability to gain admission promptly.
