Job summary

Qualifications

• Basic knowledge of United States securities laws (including the proxy rules).
• Direct experience with shareholder activism (defense/activism) preferred for mid-level candidates.
• Experience drafting and negotiating SPAs, APAs, merger agreements, LLC and/or partnership agreements, and other ancillary transaction documents is highly desirable.

Responsibilities

• Prepare nomination notices and proxy statements.
• Advise and lead drafting for shareholder cooperation agreements, share purchase/merger agreements, joint ventures, and investments for sophisticated clients in the public markets.
• Conduct and oversee legal research and due diligence.
