Baker Tilly Advisory Group, LP is seeking a Manager to join our Transaction Services Tax team, developing and implementing transaction advisory services to meet clients' complex financial needs. Open to location.

In this role you will interact with Partners, model transactions, prepare memoranda and presentations, review tax aspects of acquisitions, and identify risks and opportunities while supporting due diligence and marketing activities.

Qualifications

• Bachelor's degree in finance or accounting required; or graduate degree with relevant experience.
• 5+ years of work in a mid-to-large professional services firm.
• CPA or JD/LLM required.
• Experience in tax due diligence, deal structuring and post-acquisition planning.
• Strong written communication and MS Office skills.

Responsibilities

• Interact directly with Partners on client and engagement management.
• Model financial transactions for valuation, structuring and negotiation.
• Prepare memoranda and presentations describing client companies and industries.
• Review and analyze tax aspects of acquisition and merger agreements; draft tax opinions.
• Identify tax risks and opportunities while advising on strategies for acquisitions, dispositions and restructurings.
• Review tax computations in financial models; assist in tax data analysis.
• Data gathering, document review and report preparation.
• Research & financial analysis of target companies.
• Due diligence for buy-side and sell-side transactions.
• Transaction structuring for tax and accounting issues.
• Negotiation support and communication with business owners for client service.
• Participate in marketing and recruiting activities.
