Job summary

Baker Tilly US is seeking a Manager to join the Transaction Services Tax team in any location. You will develop and implement transaction advisory services for private equity, banks and public clients, focusing on tax diligence, structuring and post-acquisition planning across industries.

You will interact with Partners, model transactions, prepare detailed analyses, and support marketing and recruiting efforts. Open to relocation or flexible locations.

Qualifications

• Bachelor's degree in finance, Accounting or related field or a graduate degree with 2 years of related work experience.
• 2+ years of work experience in a mid to large-size professional services firm.
• CPA or JD/LLM required.
• Tax due diligence, deal structuring and post-acquisition planning experience and/or inbound/outbound transaction consulting with international tax research, planning and compliance.
• Strong written communication skills; analytical, problem-solving and organizational abilities; excellent client service.
• Microsoft Suite skills and proficiency in data analysis for financial models.

Responsibilities

• Interact directly with Partners on client and engagement management matters.
• Model financial transactions for valuation, structuring and negotiation.
• Prepare memoranda and presentations on client companies and industries.
• Assist review of tax aspects of acquisition/merger agreements; draft tax opinions.
• Identify and analyze tax risks and opportunities; advise on tax strategies for transactions.
• Review and advise on tax computations in financial models; analyze tax data in projections.
• Data gathering, document review and reporting.
• Research and financial analysis of target companies; due diligence for buy/sell side.
• Transaction structuring for tax and accounting issues; negotiation support with clients.
• Communicate with business owners to ensure exceptional client service; assist in marketing activities.
