Job summary

Andersen is seeking a Transactional Counsel to support acquisitions across the U.S. and international jurisdictions. You will coordinate with in‑house and outside counsel, prepare term sheets and acquisition agreements, and manage post‑closing obligations to minimize risk.

The role reports to the Managing Director leading acquisitions and requires a strong ethical compass, clear communication, and a collaborative approach within a growing professional services environment.

Qualifications

• J.D. from accredited law school with admission in good standing to at least one state bar.
• Minimum of 3 years of legal practice with experience in corporate transactions (M&A or private equity).
• Commitment to high ethical standards and professional integrity.
• Strong desire to be part of a team‑oriented culture in a growing company.
• Experience in a professional services environment or at a large law firm is highly desirable.

Responsibilities

• Initial outreach to the firms being acquired.
• Nondisclosure agreements.
• Due diligence activities.
• Drafting and negotiating legal documentation, including term sheets, acquisition agreements, and related ancillary agreements.
• Maintaining and updating deal checklists.
• Analyzing issues that arise during negotiations and assisting in finding practical solutions while minimizing risk to Andersen.
• Coordinating activities regarding the closing of the transactions.
• Managing post‑closing requirements and activities.
• Assisting with various legal issues in connection with the integration of the acquired firms into Andersen operations.
