Job summary

Andersen is seeking a Transactional Counsel to provide legal support for the acquisition of multiple professional services firms in the U.S. and abroad. The role requires coordination with in-house and outside counsel, as well as business teams, to advance transactions from outreach through post‑closing integration.

The ideal candidate has a J.D. from an accredited law school, bar admission, minimum 3 years of corporate transaction experience, and a proven ability to manage deadlines and

Qualifications

• J.D. from an accredited law school with admission in good standing to at least one state bar.
• Experience in corporate transactions (mergers & acquisitions or private equity) is required.
• Commitment to high ethical standards and professional integrity.
• Strong team orientation in a growing company.

Responsibilities

• Initial outreach to the firms being acquired.
• Nondisclosure agreements.
• Due diligence activities.
• Drafting and negotiating legal documentation, including term sheets, acquisition agreements, and related ancillary agreements.
• Maintaining and updating deal checklists.
• Analyzing issues during negotiations and assisting in practical solutions while minimizing risk to Andersen.
• Coordinating activities regarding the closing of the transactions.
• Managing post‑closing requirements and activities.
• Assisting with integration of acquired firms into Andersen operations.
