Job summary

American Rivers seeks a General Counsel to lead the legal function, manage a small team, and advise the executive team on governance, compliance, and risk across a national nonprofit and affiliated entities.

The role reports to the Senior Vice President for Business Strategy & Operations and supports employment policies, insurance, and regulatory matters while coordinating with the Board and ELT.

Qualifications

• J.D. and at least 15 years of successful legal practice experience.
• Bar admission in at least one U.S. jurisdiction.
• Prior senior attorney or General Counsel experience with staff management.
• Collaborative approach with internal departments, external parties, and the Board.
• Experience drafting, reviewing, and negotiating transactional agreements.
• Knowledge of labor and employment law.
• Knowledge of IRS guidelines for lobbying by nonprofits.
• Familiarity with 501(c)(3), 501(c)(4), and Section 527 nonprofit laws.

Responsibilities

• Draft and review contracts and legal agreements, including master agreements and leases.
• Oversee contracts tracking, approval processes, and procurement policy improvements.
• Advise on RFPs/RFQs and related legal issues for projects.
