This onsite role requires strategic counsel to support global operations and drive governance transformation.

You will oversee Form 10-K/10-Q, insider trading controls, and Nasdaq/SOX compliance, liaise with Finance and IR, manage outside counsel, and guide regulatory

Qualifications

• 12+ years of corporate legal experience in a law firm or public company.
• Active license to practice law in at least one U.S. jurisdiction.
• Experience with SEC reporting, securities law, and governance matters.
• Strong knowledge of Nasdaq, SOX, Dodd-Frank compliance.

Responsibilities

• Lead governance processes for the Board and committees.
• Manage SEC reporting and disclosure, including 10-K/10-Q/8-K/Proxy.
• Oversee insider trading controls and Section 16 filings.
• Coordinate with Finance, IR, Tax, HR on governance matters.
• Manage outside counsel and governance-related transactions.
• Drive governance modernization using AI and digital tools.
