Piper Companies is seeking a Director, Corporate Governance & Securities Counsel to join a leading publicly traded healthcare technology company in Tempe, AZ. This onsite role requires strategic governance leadership and oversight of SEC reporting, board governance, and global subsidiary governance.

The ideal candidate has 12+ years in corporate law, a JD, and active eligibility to practice in the U.S., with experience in governance frameworks and managing outside counsel.

Qualifications

• 12+ years of corporate legal experience in a law firm or publicly traded company.
• Active U.S. government Secret Clearance eligibility required.
• Extensive SEC reporting, securities law compliance, governance, and board matters.
• Experience partnering with finance, treasury, investor relations, tax, HR, and leadership.

Responsibilities

• Lead governance processes supporting the Board and committees.
• Prepare and review board materials, resolutions, minutes, and shareholder documentation.
• Drive governance framework improvements and policy updates.
• Lead SEC reporting and disclosures (10-K, 10-Q, 8-K, proxies).
• Oversee insider trading compliance and Rule 144 matters.
• Monitor Nasdaq, SOX, and other governance regulatory developments.
• Collaborate with Finance, Treasury, IR, Tax, and HR on disclosures.
• Support earnings preparation and investor communications.
• Advise on financing, debt transactions, and corporate matters.
• Oversee global subsidiary governance and entity management.
• Advance legal operations via AI, automation, and digital tools.
• Manage outside counsel and support strategic transactions.
